Sociedad de Responsabilidad Limitada (S.L.) is a limited liability company (LLC). Minimum 2 partners and maximum 50
nb: A single partner for a sole proprietorship S.L.
3,005.06 EUR minimum completely subscribed and fully paid-up. Their responsibility is limited to the contribution amount.
Sociedad Anonima (S.A.) is a limited company (Incorporated). Minimum 3 partners.
nb: This number can then be brought to 2 then 1 shareholder.
60,101.21 EUR minimum, fully paid up minimum up to 25% of the amount put together. Their responsibility is limited to the contribution amount.
Sociedad Colectiva is a company in a group's name. Minimum 2 partners. No minimum capital. Their liability is joint and several and unlimited against third parties.
Sociedad comanditaria is a mixed liability company (limited partnership) There are 2 types of partners, the active partners and the sleeping partners. No minimum capital. The liability of active partners is unlimited. The liability of sleeping partners is limited to their contribution amounts.

Business setup procedures
Status must be drawn up in a deed drawn up by a solicitor notary. The competent register is the one where the company is located or where the branch is set up. Moreover, foreign investors must obtain a negative certificate issued by the Central Register of Commerce to make sure that the company's registered name is not being used. A tax license is required as soon as the company is constituted, and successively at the beginning of every financial year.
